The Transaction at a Glance
THE DEAL C&D buys all qualifying DSO that ZhongNuo mines from one Nigerian project; STM Co. (Chariot 66.667% / Continental 33.333%) sells the DSO, receives payment and shares net proceeds with ZhongNuo.
PROJECT One of Fonlo, Iganna or Saki — C&D and ZhongNuo visit the sites and nominate a Selected Project.
STM CO. Chariot is in the process of incorporating STM Co. (66.667%) with Continental (33.333%). STM Co. holds the exclusive Phase 1 marketing rights, sells the DSO to C&D and splits the net sale/revenue proceeds with ZhongNuo.
WORK PROGRAM ZhongNuo drills ≥ 1,500 m of diamond core across three or more pits before mining, then mines up to 240,000 t of DSO within the Phase 1 Envelope — at its own cost.
OFFTAKE + PRICING C&D buys all qualifying DSO delivered to the Delivery Site during Phase 1. An agreed SMM lithium-carbonate formula sets the price. STM Co. invoices C&D at delivery; C&D pays against the agreed delivery documents. Later
assay or pricing true-ups settle in U.S. Dollars.
FEE + PREPAYMENT C&D has paid a US$100,000 exclusivity fee, and will pay a US$500,000 interest-free Phase 1 Facility at Definitive Agreement signing — STM Co. credits it against DSO invoices issued to C&D.
PHASE 1 TERM Phase 1 ends at the earlier of 24 months after the Definitive Agreement is executed and the date the 240,000 t cap is attained.
CONDITIONS TO CLOSE Definitive Agreement, legal and tax advice, project rights confirmed, STM Co. established, approvals and KYC/AML cleared, mining plan agreed, viability confirmed after drilling.
The funding, drilling, mining and offtake terms take effect only after the parties execute the Definitive Agreement and satisfy or waive applicable conditions precedent. Chariot has not estimated a Mineral Resource or Ore Reserve for any of the Nigerian projects and has not made a
decision to mine.

SITE CHARACTERISTICS
>6 km dyke swarm of near-vertical pegmatites; individual dykes reaching up to ~20 m at surface.
Coarse spodumene crystals (up to 0.5 m long) are visible in pegmatite outcrop and mine pits
resources, hosted by Precambrian biotite gneiss, mica schist and granite country rock.
TENURE
3 Licences (2x exploration licences and 1x Small Scale Mining Lease) covering 52.8 km2.
LOCATION
Northern Kwara State, near the Oyo border in west-central Nigeria. A part of Nigeria’s southwest “lithium belt”.
Fonlo: Six-Kilometre Pegmatite Dyke Swarm
HISTORICAL ACTIVITY
Historical artisanal production: More recently (since 2021) for
spodumene and previously for tantalum and gemstones. Approx. 10
pits (individual pits up to 200m x 100m) and numerous trenches
along a north-south trending belt.
Exploration: Limited rock chip sampling confirming lithium and
tantalum mineralization.
Rock chips: recent samples up to 4.04% Li₂O (Q4 2025); 11 historical samples
up to 6.46%, averaging 2.32% Li₂O — selected samples, not representative
grade.

Investor Presentation September 2026
Iganna: Stacked Pegmatite Sills Near Surface
HISTORICAL ACTIVITY
1 exploration licence (EL 35516), 23.8 km², Oyo State, ~150 km north of Lagos.
• Historical artisanal production: Artisanal production since 2021 (spodumene; earlier tantalum and gemstones): ~20
pits along a NNE belt, with a second belt to the west.
• Recent Exploration Results: Rock chips: recent samples up to 5.96% Li₂O (Q4 2025); 10 historical samples up to
6.48%, averaging 2.67% Li₂O — selected samples, not representative grade.
• Elevated tantalum (Ta₂O₅ ~1,490 ppm) and caesium (>2.5% Cs2O) in samples highlight potential by-product credits.
• Pollucite in two high-Cs Iganna samples (9.5% & 4.4% Cs); requires follow-up.
SITE CHARACTERISTICS
Multiple shallow-dipping LCT pegmatite sills, traceable for several hundred metres; spodumene and
lepidolite in outcrop and pit walls.

U.S.A. Claystone Lithium
One of the Largest Lithium Portfolios in the U.S.
• The combined Mustang and FMS Lithium Corporation claims when viewed as a single portfolio
are one of the largest lithium portfolios in the United States by surface area (2,009 claims
across 40,000+ acres) and potential mineral resource scale.
Major Assets in Two Tier-1 Lithium Districts
• Positioned in the world’s two (2) premier claystone lithium districts.
• Nevada offers ideal conditions for mine development.
Neighbouring Lithium Projects Demonstrate Value Potential
• Laterally continuous claystone formations make land position a key value driver.
• Tonopah Basin: American Battery Technology Company; American Lithium.
• McDermitt Caldera: Lithium Americas.
Strong Geological Foundations
• Assets selected for high-grade surface mineralisation and for large-scale discovery
potential.
Western U.S. Portfolio with Multiple Development Pathways
• Resurgent may be poised for early exploration success, based on surface samples and
resource estimates of neighbouring properties sharing the same lakebed hosted
mineralisation.
• Horizon has a defined resource; Horizon is large and potentially scalable resource.
Potential for step-out and infill drilling to expand the resource.
5 Years of Portfolio Build-Out Supported by US$16m+ of Investment
Critical Minerals Priorities
• The projects may benefit from the US designation of lithium as a critical mineral.

Resurgent Project
Overview
• The Resurgent Project is a claystone-hosted lithium project located in the McDermitt Caldera in Oregon
and Nevada, U.S.A.1
• The McDermitt Caldera hosts two of the largest reported lithium resources in the United States. The
lithium deposits in the Caldera occur in ancient lake sediments that surround the centre of the caldera.
• The Resurgent Project comprises 597 claims.
• FMSL collected 289 surface samples at the Resurgent Project, with 20 samples assaying >1,000 ppm Li
and a best assay result of 3,865 ppm Li (as shown in the following tables). Typical mineral resource
